RALEIGH, NC, March 20, 2009 –  Manning Fulton clients prevailed in two recent decisions from the N.C. Business Court.

In JDH Capital, LLC v. Flowers, the Court ruled March 13 on a dispute over a proposed commercial development.  The Court ruled in Rebecca Flowers’ favor that the Letter of Intent at issue is “a non-binding agreement to agree, which is unenforceable.”  The Court found that the Letter of Intent and work done in connection with negotiations did not create a joint venture, and it dismissed the claims against Ms. Flowers.

In Vernon v. Cuomo, the Court ruled March 17 that the majority shareholders of TriboFilm Research, Inc. improperly diluted the percentage of the company owned by Joel Williams from 20 percent to 2.4 percent.  The Court reinstated Dr. Williams’ ownership stake and ordered the company to be dissolved unless it buys Dr. Williams’ full interest at fair value.
